Acceptable Use Policy
1. Purpose & Scope
This Acceptable Use Policy (the "AUP") governs your use of the services provided by Solaxis AI LLC ("Solaxis AI," "we," "us," or "our"), including our software, application programming interfaces, AI features, and related offerings (collectively, the "Service"). This AUP is incorporated into, and forms part of, our Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.
This AUP applies to all use of the Service and to all content you create, generate, draft, schedule, publish, or apply through the Service ("Content"), whether produced by you, by your authorized users, or with the assistance of the Service's AI features. The Service generates draft Content that you review and approve before it is published to, or applied on, any connected platform; you are responsible for the Content you publish or apply. Your access to and use of the Service is conditioned on your continued compliance with this AUP.
Violation of this AUP is a material breach of the Terms of Service and may result in any of the actions described in Section 8 (Enforcement & Consequences), including suspension or termination of your account, and may expose you to civil or criminal liability.
2. Prohibited Content
You may not use the Service to create, generate, host, store, transmit, distribute, publish, or apply any Content that:
- Is illegal, or that promotes, facilitates, or provides instructions for illegal activity, under applicable law in any jurisdiction where you, your customers, or your audience are located.
- Constitutes hate speech, or that harasses, threatens, defames, bullies, or incites violence or discrimination against any person or group on the basis of race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, or any other protected characteristic.
- Sexually exploits, endangers, or depicts the abuse of a child, or that otherwise constitutes child sexual abuse material. We maintain zero tolerance and report such material to the appropriate authorities.
- Is sexually explicit, pornographic, or features non-consensual intimate imagery, or that is not appropriately age-gated and disclosed as required by applicable law and platform policy.
- Is excessively violent, graphic, or gratuitously shocking, or that promotes self-harm, suicide, or eating disorders.
- Infringes or misappropriates the intellectual property rights of any third party — including copyright, trademark, patent, trade secret, or rights of publicity — or that offers, promotes, or facilitates the sale of counterfeit or pirated goods.
- Contains or distributes malware, viruses, worms, ransomware, spyware, phishing pages, or any other code or payload designed to disrupt, damage, gain unauthorized access to, or compromise any system, network, device, or user.
- Is deceptive, fraudulent, or misleading, including false or unsubstantiated claims, bait-and-switch offers, fake reviews or testimonials, or content designed to defraud consumers, investors, or regulators.
3. Prohibited Conduct
You may not, and may not authorize or permit any third party to, use the Service to:
- Gain or attempt to gain unauthorized access to the Service, to any other customer's account or data, or to any connected system or network, including by probing, scanning, or conducting security or penetration testing without our prior written authorization.
- Circumvent, disable, or interfere with rate limits, quotas, authentication, usage restrictions, or other technical or security measures of the Service or of any connected platform.
- Scrape, harvest, crawl, or extract data from the Service or from any connected platform in a manner that abuses, overloads, or violates the terms of the Service or that platform, or to collect another merchant's store, customer, or proprietary data without authorization.
- Send unsolicited bulk or commercial email, SMS, or messages ("spam"), or otherwise use the Service in violation of anti-spam, telemarketing, or electronic-communications laws.
- Resell, rent, lease, sublicense, or otherwise make the Service available to any third party except under a valid, authorized agency or reseller agreement with us.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, or underlying structure of the Service, except to the limited extent that applicable law expressly permits notwithstanding this restriction.
- Interfere with, degrade, or disrupt the integrity, performance, or availability of the Service, of other tenants' use of the Service, or of any connected platform or third-party system.
- Use the Service to impersonate any person, organization, or affiliation in outreach, messaging, or other Content.
4. Platform-Policy Compliance
The Service connects to, and helps you publish or operate on, third-party platforms. You are solely responsible for complying with the terms of service, advertising policies, community guidelines, and restricted-goods rules of every platform you connect to or publish on. The fact that Content was drafted or suggested by the Service's AI features does not exempt that Content — or you — from any platform's rules. Connected platforms include, without limitation:
- Meta (Facebook and Instagram) — Meta's Advertising Standards and Community Standards, including restrictions on prohibited and restricted categories and on political and social-issue advertising.
- TikTok — TikTok's Community Guidelines and Advertising Policies.
- Google and YouTube — Google Ads policies and YouTube's Community Guidelines and advertising standards, including rules on misleading content, healthcare and medications, and prohibited categories.
- Commerce platforms — the merchant terms, prohibited-and-restricted-product lists, listing rules, and branding requirements of Shopify, WooCommerce, Etsy, eBay, Amazon, and Wix.
- Other connected services — the applicable policies of X, Reddit, Klaviyo, and any other platform or channel you connect to the Service.
5. Regulated-Industry & Advertising Compliance
Many jurisdictions and platforms impose specific requirements on advertising, endorsements, and regulated products. You are responsible for ensuring that all Content you publish complies with applicable law and platform policy, including the following:
- Endorsement and disclosure rules. Where the U.S. Federal Trade Commission (the "FTC") or an analogous regulator requires it, you must clearly and conspicuously disclose material connections — paid, affiliate, or sponsored relationships — in influencer, creator, and endorsement Content, consistent with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255).
- Health and therapeutic claims. You may not make unapproved health, medical, disease, or therapeutic claims, and you must comply with the requirements of the U.S. Food and Drug Administration (the "FDA") and equivalent regional authorities for any regulated product, including supplements, foods, cosmetics, and medical devices.
- Business-opportunity and income claims. You may not make deceptive or unsubstantiated earnings or income-opportunity claims, and you must comply with applicable multi-level-marketing ("MLM") and business-opportunity rules, including substantiation requirements for any earnings representation.
- Financial promotion. You may not guarantee investment returns or promote regulated financial products, securities, or services without the licenses, registrations, and disclosures required by applicable law.
- Age-restricted verticals. For age-restricted or regulated products (for example, smoking accessories), you must not target, appeal to, or market to minors; you must not make health claims; and you must comply with each connected platform's restricted-goods and age-gating advertising policies and with all applicable laws governing such products.
Where the Service offers automated compliance pre-screening of AI-generated Content, that pre-screening is a guardrail and not a guarantee of compliance. You remain solely responsible for confirming that all Content you publish or apply complies with applicable law and platform policy.
6. AI-Specific Prohibitions
In addition to the foregoing, you may not use the Service's AI features to create, generate, or distribute:
- Misinformation or disinformation, including coordinated false or deceptive content intended to mislead the public.
- Deepfakes (including AI-generated deepfakes) or other synthetic or manipulated media that misrepresents a real person, organization, or entity, or that depicts a real individual without authorization.
- Content intended to manipulate, suppress, or interfere with elections, voters, political campaigns, or democratic processes, or that violates applicable election laws or platform political-content policies.
- Content that impersonates any person, brand, or organization, or that falsely suggests endorsement, affiliation, or authorship.
- Content that violates the usage policies of the third-party AI providers that power the Service, within whose contractual constraints we operate.
7. Your Responsibility for AI Output
The Service produces draft Content that you are expected to review and approve before it is published to, or applied on, any connected platform. Solaxis AI does not independently verify the accuracy, legality, or compliance of AI-generated Content. You are responsible for reviewing all Content before publication, for exercising human judgment over what you approve, and for the final published or applied Content — including its accuracy, its legality, its intellectual property clearance, and its compliance with applicable law and platform policy. Reliance on the Service's AI features does not relieve you of any obligation under this AUP.
8. Enforcement & Consequences
We may investigate suspected violations of this AUP and may take any action we deem appropriate, in our sole discretion and with or without notice, depending on the nature and severity of the violation. Such actions may include one or more of the following:
- Warning. For first-time or lower-severity violations, an in-dashboard or email notice with a request to remediate within a stated period.
- Content removal. Removal, unpublishing, or reversal of specific Content, including via a connected platform's APIs.
- Throttling or feature restriction. Rate-limit enforcement or disabling of specific features (for example, automated publishing) until remediation is confirmed.
- Suspension. Temporary suspension of your access to all or part of the Service while we investigate.
- Termination. Permanent termination of your account, with data handled in accordance with our Privacy Policy and the Terms of Service.
- Reporting and legal action. Reporting to the relevant connected platform or to law enforcement, cooperation with lawful investigations and valid legal process, and pursuit of civil remedies where Solaxis AI or a third party is harmed.
For severe violations — including illegal Content, child exploitation, credible threats of violence, security attacks, or repeated platform-policy breaches — we may suspend or terminate your account immediately and without prior notice. Our decision not to enforce any provision of this AUP in a particular instance does not waive our right to do so in any other instance.
9. Reporting Violations
If you become aware of Content or conduct on or through the Service that violates this AUP, please report it to us at admin@solaxis.ai. Please include relevant URLs, account identifiers, and a description of the issue so that we can investigate.
We review abuse reports promptly. Reports involving child exploitation, credible safety threats, or imminent harm are escalated immediately and may be referred to law enforcement.
10. Changes to This Policy
We may update this Acceptable Use Policy from time to time to reflect changes in our Service, in applicable law, or in platform requirements. Material changes will be communicated by email and/or an in-dashboard notice before they take effect. Your continued use of the Service after a revised AUP becomes effective constitutes your acceptance of the revised AUP.
